Terms of Use
The short version
This summary is for convenience only. The full terms below are what count.
- SHIPIT is a macOS app that runs third-party AI coding agents (Claude Code, Codex, Grok, Gemini, OpenCode and others) on your Mac, using your own accounts and subscriptions. We do not sell access to AI models.
- Agents can change or delete files, run commands, push code and publish sites. New installs start in Ask before acting. Full access is your choice: you turn it on and confirm it, agents then act without asking, and you take that risk.
- Your code and content are yours. SHIPIT does not upload them to us.
- One Dzhura subscription, $25 a month or $199 a year, covers SHIPIT and the Dzhura app. You pay each period by crypto invoice (USDT on TRC20). Nothing is charged automatically.
- 7-day money-back guarantee on every payment. Consumers in the EU, the UK and Ukraine can also withdraw within 14 days of a payment for a full refund.
- To the extent the law allows, our liability is limited (section 16). Rights the law gives you that cannot be limited are not affected.
- You must be 18 or older and must not be in Russia, Belarus, the occupied territories of Ukraine, or on a sanctions list.
01Who we are and what these terms cover
1.1. SHIPIT by Dzhura ("SHIPIT") is provided by Maksym Zhuk, an individual trading as "Dzhura" ("we", "us", "our"). Address: Shypit Waterfall, Pylypets, Zakarpattia Oblast, 90011, Ukraine. Email: [email protected]. Website: https://dzhura.app.
1.2. "SHIPIT" means the SHIPIT by Dzhura desktop app for macOS, its updates, and the online services we run for it (sign-in, downloads, updates, payments and support).
1.3. These Terms of Use ("terms") are a contract between you and us. They apply together with our Agent Risk & Acceptable Use at https://dzhura.app/shipit/agent-risk, which forms part of these terms. If the two disagree, these terms win. Our Privacy Policy at https://dzhura.app/shipit/privacy explains how we handle personal data; it is information, not part of the contract.
1.4. "You" means the person using SHIPIT. If you use SHIPIT for your trade, business or profession, or on behalf of an organisation, you are a "business user". Otherwise you are a "consumer". Some sections treat consumers differently, because the law gives consumers rights that a contract cannot remove.
1.5. If you accept these terms on behalf of an organisation, you confirm that you are authorised to bind it, and "you" includes that organisation.
02How you accept these terms
2.1. New installs. The first time you open SHIPIT, it shows you links to these terms, the Agent Risk & Acceptable Use and the Privacy Policy, and asks you to tick a box to agree to these terms before you continue. If you do not agree, do not use SHIPIT.
2.2. Installs from before version 1.0. If you used SHIPIT before these terms, SHIPIT shows you a notice about them. The notice does not block your work. These terms apply to you from the moment you press Accept in that notice. We do not treat continued use alone as acceptance. Until you accept, the terms that applied when you paid for your current period, if any, continue to apply to that period, and we may ask you to accept the current version before you pay for a new period.
2.3. At payment. If the checkout on dzhura.app asks you to accept these terms, ticking that box is also acceptance.
2.4. Record. When you accept, SHIPIT records on your Mac the version of these terms, the date and time, and the access mode you were using (section 8). It also records later changes of access mode. Please keep or print a copy of these terms; earlier versions stay available on dzhura.app (section 21).
03Who can use SHIPIT
You may use SHIPIT only if:
- you are at least 18 years old and can enter into a binding contract;
- you are not located in, ordinarily resident in, or acting for Russia, Belarus, or any territory of Ukraine temporarily occupied by Russia (including Crimea and the occupied parts of the Donetsk, Luhansk, Zaporizhzhia and Kherson regions), or any other country or region subject to comprehensive sanctions under the laws listed in section 19;
- you are not a sanctioned person and are not owned or controlled by one; and
- we have not previously ended your access for breaking these terms.
04Your licence
4.1. While you follow these terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence, which we may end only as set out in section 18, to install and use SHIPIT on up to 3 Macs that you own or control, for your personal use or for your own business. The licence is for you; other people need their own.
4.2. SHIPIT is licensed, not sold. We (and our licensors) keep all rights in SHIPIT, including its code, design, names and logos. You get only the rights these terms expressly give you.
4.3. Your subscription. Paying for the Dzhura subscription (section 12) gives you the benefits of that plan, as shown on dzhura.app, for the period you paid for. If your subscription ends, those benefits end at the end of that period.
4.4. Use without paying. If we let you use SHIPIT, or some of its features, without paying, this section 4 and sections 5, 15 and 16 apply to that use too.
4.5. Open-source components. SHIPIT includes open-source components. Their own licences apply to them, and nothing in these terms limits your rights under those licences. We will send you the list of components and their licences on request at [email protected].
05What you may not do
Except where the law expressly allows it despite this restriction, you must not:
- copy, sell, rent, lend, sublicense, share or resell SHIPIT, your licence or your account, or use SHIPIT on more Macs than section 4.1 allows;
- reverse engineer, decompile or disassemble SHIPIT, or try to extract its source code;
- remove, bypass or tamper with code signing, notarisation, update verification, or any licence or payment check;
- modify SHIPIT or create derivative works of it;
- remove our notices or trademarks;
- use SHIPIT to build a competing product by copying its features, design or code;
- interfere with, overload or attack our servers, or access them other than through SHIPIT or dzhura.app;
- use SHIPIT in breach of the Agent Risk & Acceptable Use, the law, or the terms of any third-party service.
06Your Dzhura account
6.1. You need a Dzhura account to pay for and manage a subscription. Give accurate information and keep your sign-in details secret.
6.2. One account is for one person. You are responsible for everything done through your account, unless it was caused by our failure to take reasonable security measures.
6.3. Tell us promptly at [email protected] if you think someone else has accessed your account.
6.4. You can delete your account at any time by emailing [email protected] from the address on your account. Deleting your account ends your subscription; refunds follow section 13.
07Third-party AI tools and services
7.1. SHIPIT is a workspace, not an AI provider. The agents you run in SHIPIT are third-party command-line tools and models, such as Claude Code, Codex, Grok, Gemini, OpenCode, Cursor and Aider ("Agent Tools"). SHIPIT also works with other services you connect, such as GitHub (through your own gh tool), git hosts and hosting providers such as Vercel ("Third-Party Services").
7.2. You use your own accounts. You install, sign in to and pay for Agent Tools and Third-Party Services yourself, with your own accounts, subscriptions and API keys. We do not resell, provide or pay for model access.
7.3. Their terms govern. Your use of each Agent Tool and Third-Party Service is governed by its own terms, usage policies and privacy policy. You are responsible for complying with them, including any rules about automated use, parallel sessions, account sharing, rate limits and permitted content.
7.4. Their costs are yours. Agents can use up paid usage, credits or quota quickly, especially when several run in parallel or in Full access. You are responsible for all fees, usage charges and overages charged by Agent Tools and Third-Party Services.
7.5. Your data goes to them, not us. When you use an Agent Tool, your prompts, code and files are sent by that tool to its provider under that provider's terms. That traffic does not pass through us, and we are not responsible for how those providers process it.
7.6. We do not control them. We do not control, review or guarantee the availability, accuracy, behaviour, pricing or terms of any Agent Tool or Third-Party Service. They may change or stop working with SHIPIT at any time, and features of SHIPIT that depend on them may stop working as a result.
7.7. SHIPIT is not affiliated with, endorsed by or sponsored by Anthropic, OpenAI, xAI, Google, GitHub, Vercel or any other provider. Their names are trademarks of their owners and are used only to identify compatible tools.
7.8. Usage display and multiple accounts. To show how much of your Agent Tool allowance is left, SHIPIT can use the sign-in that the Agent Tool stores on your Mac to ask that provider for your usage figures. This happens only from your Mac and only with the provider that issued the sign-in. Providers may restrict this, and if they do, the display may stop working. SHIPIT also lets you add more than one Agent Tool account. Use only accounts that are yours or that you are allowed to use, and follow each provider's rules on multiple and shared accounts.
08AI agents act on your behalf — please read
8.1. What agents can do. Agents running in SHIPIT work on your Mac with your user permissions and your accounts. They can read, create, change and delete files, run commands and scripts, install software, change git history, push code, create repositories, and publish websites through your accounts. Their actions may be irreversible.
8.2. AI makes mistakes. AI output can be wrong, insecure, incomplete, infringing or harmful, and agents may misunderstand instructions or act in ways you did not expect. Never rely on agent output without checking it.
8.3. Two access modes. SHIPIT starts agents in one of two modes: Ask before acting and Full access. You choose in setup or in Settings › Agents & AI. New installs start in Ask before acting.
8.4. Ask before acting. In this mode:
- Code panes: SHIPIT starts each agent in that agent's own approval mode. The agent asks you before it runs commands and, for most agents, before it edits files. Some third-party agents (for example Aider) can edit files in your project without asking.
- Agent tab: file changes, shell commands and plugin actions that go through SHIPIT stop at an approval card until you approve them. Codex in the Agent tab runs read-only.
- In every view, agents can still read files and send them to their provider without asking.
How and when an Agent Tool asks is decided by that tool, not by SHIPIT, and can change when the tool is updated. Each approval you give is your decision; read what an agent is about to do before you approve it.
8.5. Chat is read-only in both modes: agents in Chat can read, but do not change files or run commands.
8.6. Full access (your choice, your risk). You can turn on Full access in setup or in Settings › Agents & AI, and SHIPIT asks you to confirm before it takes effect. In Full access, the agents SHIPIT starts act without asking for approval, and in Code panes without their own sandbox. By turning on and confirming Full access, you accept the risk of what agents do while it is on, to the extent the law allows and subject to section 16.1.
8.7. Installs from before version 1.0. If you used SHIPIT before Ask before acting existed, SHIPIT kept your agents on Full access so that nothing changed without your knowledge, and it shows you a notice asking you to keep Full access or switch to Ask before acting. Section 8.6 applies to you from the moment you choose to keep Full access. Until then, you can switch to Ask before acting at any time in Settings › Agents & AI, and the rest of this section 8 applies.
8.8. Changing mode. A change of mode applies to agents started after the change. An agent that is already running keeps the mode it started with until you restart it.
8.9. What the modes cover. The modes cover agents that SHIPIT starts, in Code, Agent and Chat. An Agent Tool you start yourself by typing its command in a terminal follows that tool's own settings.
8.10. Approval prompts are a convenience, not a safety guarantee. Agent Tools decide for themselves which actions they ask about, and some actions may happen without a prompt, including in Ask before acting. Outside the approval cards in the Agent tab, SHIPIT does not inspect, filter or approve agent actions on its own.
8.11. You are the operator. As between you and us, every action an agent takes in SHIPIT, on your instruction, with your approval, or under the access mode you chose, is treated as your action. You are responsible for it towards us and towards third parties, including GitHub, hosting providers and the people affected. This does not apply to an action caused by SHIPIT not working as these terms describe, for example SHIPIT starting an agent with wider access than the mode you chose.
8.12. New Project and Deploy. When you create a project, SHIPIT creates folders, a git repository and, if you choose, a GitHub repository through your own gh tool and account (new repositories are private). When you press Deploy, SHIPIT publishes through your own hosting account; with production on, it replaces your live site. SHIPIT deploys only when you press Deploy. You are responsible for what you publish and for checking it before you do.
8.13. Protect yourself. You agree to:
- keep current backups of anything you would not want to lose, and use version control;
- run agents only on folders, machines and accounts you are authorised to use;
- keep secrets (passwords, keys, tokens, private data) out of places agents can read, or accept that agents and their providers may see them;
- review code before you run, merge, push or publish it; and
- not use SHIPIT or agents for anything where a failure could cause death, personal injury, serious environmental damage, or control of critical infrastructure, medical devices, vehicles or weapons.
8.14. We do not monitor. We do not see, review or moderate what you or your agents do. We cannot stop an agent action or undo it for you.
09Your code and content belong to you
9.1. Everything you create, bring or keep in SHIPIT — code, files, prompts, outputs, projects and other content ("Your Content") — belongs to you (or to whoever owns it). We claim no ownership of, and no licence to, Your Content.
9.2. Your Content stays on your Mac and with the Third-Party Services you choose. We do not receive it, except a filtered error message in a crash or problem report you chose to send (see the Privacy Policy), or content you deliberately send us, for example in a support request. We use what we receive only to answer your request and fix SHIPIT.
9.3. You are responsible for Your Content and for having the rights to use it. Whether AI output can be owned or protected, and whether it infringes someone else's rights, depends on the law and on the Agent Tool's terms. We make no promise about either.
9.4. If you send us ideas or feedback about SHIPIT, we may use them freely without paying you or naming you. This does not give us any rights in Your Content.
10Your data and privacy
10.1. SHIPIT is built to run locally. It does not upload your code, files, prompts, terminal sessions or agent output to us, except a filtered error message in a crash or problem report you chose to send. SHIPIT has no advertising or behavioural tracking.
10.2. We process a limited amount of data to run the service, as the Privacy Policy describes: your Dzhura account details, your subscription and payment records, update checks (which reveal your IP address and app version to our update server; you can turn automatic checks off), and — only if you turn them on or send them — crash and error reports and problem reports.
10.3. Crypto payments are public. Payments on the Tron blockchain are public and permanent. Anyone who knows a transaction or wallet address can see the amount, the time and the addresses involved. Our public revenue page (dzhura.app/revenue) shows totals only. It does not list individual payments, names, emails or transaction hashes.
11Acceptable use
11.1. You must use SHIPIT and agents lawfully and in line with our Agent Risk & Acceptable Use at https://dzhura.app/shipit/agent-risk.
11.2. In particular, you must not use SHIPIT or agents to:
- access, scan, test or attack any system, account or network without authorisation;
- create, spread or run malware, ransomware, credential stealers or exploits against others;
- send spam, run fraud or phishing, or impersonate others;
- infringe intellectual property, privacy or other rights;
- create or spread child sexual abuse material, or content that is illegal where you are;
- evade sanctions, export controls or the security controls of any service; or
- break the terms or usage policies of any Agent Tool or Third-Party Service.
11.3. If you break this section, we may suspend or end your access under section 18.
12Subscription, prices and payment
12.1. What you need to use SHIPIT. SHIPIT needs:
- a Mac with macOS 14 or later;
- an internet connection for sign-in, updates and agents; and
- at least one Agent Tool installed and signed in with your own account, subscription or API key, which you buy separately from its provider.
SHIPIT does not include access to any AI model. Without an Agent Tool account, SHIPIT's agent features do not work.
12.2. Plan and price. One Dzhura subscription covers SHIPIT and the Dzhura app. It costs $25 per month or $199 per year. The price is the total you pay: if we are required to charge VAT or a similar tax, it is included. Prices are in US dollars and paid in USDT. The invoice shows the exact USDT amount, which can be slightly lower than the price so that we can match your payment to it.
12.3. How you pay. You create an invoice on your account page on dzhura.app and send the exact amount of USDT on the Tron (TRC20) network to the address shown, before the invoice expires. Your period starts when the payment is confirmed on the blockchain.
12.4. Billing period. Each payment buys one period: 30 days on the monthly plan or one year on the yearly plan.
12.5. No automatic charges. Each period is paid separately, and nothing is charged automatically. To continue after a period ends, you pay a new invoice. If you do not, the subscription ends at the end of the period you paid for. You can stop at any time simply by not paying.
12.6. If we offer card payments later. If we later offer card payments with automatic renewal, then before your first charge we will show you the renewal terms (price, period, that it renews until you cancel, and how to cancel) and ask for your express consent. You will be able to cancel at any time, online, with effect from the end of the period already paid, and we will confirm the terms and your cancellation by email. Section 12.5 applies to crypto payments only.
12.7. Payment risks. Crypto payments cannot be reversed. You are responsible for:
- sending the exact amount, of the right token, on the right network, to the right address, before the invoice expires;
- any network or wallet fees on your side; and
- the security of your wallet. We will never ask for your private key or recovery phrase.
If a payment reached our wallet but does not match an invoice (wrong amount, or after expiry), we will match it to your invoice or return it, less only the network fee, to an address you show you control. We cannot recover payments sent to a different address or on a network we do not use. We may refuse or return payments from wallet addresses that are sanctioned, blocked by the token issuer, or linked to unlawful activity.
12.8. Price changes. We may change our prices. A new price applies only to periods you pay for after the change takes effect. We will announce price increases on dzhura.app and by email at least 30 days in advance. Because nothing renews automatically, you always decide whether to pay at the new price.
12.9. Promotions. We may offer promotions or codes, each with the conditions shown when we offer it.
12.10. Taxes. You are responsible for any taxes that apply to you, except taxes that we are legally required to collect and that are included in the price.
13Refunds and your right of withdrawal
13.1. 7-day money-back guarantee. In addition to your legal rights, if you are not happy, email [email protected] within 7 days of a payment. We refund the amount we received for that payment, without asking why.
13.2. 14-day right of withdrawal for consumers in the EU, the UK and Ukraine (and anywhere else with a similar law). You may withdraw from each payment within 14 days of making it, without giving a reason. We do not ask you to give up this right when your access starts. If you withdraw within the 14 days, we refund the full amount we received for that payment.
13.3. How to ask. Email [email protected] within the period with a clear statement that you want a refund or are withdrawing, and the invoice number or transaction hash. You may use the model form in the Annex, but you do not have to.
13.4. How we refund. We refund crypto payments in USDT on the TRC20 network, to a wallet address you control and confirm to us, within 14 days of receiving your request. We pay the network fee. Card payments, if we offer them, are refunded to the card. When we refund a payment, the period it paid for ends.
13.5. Other refunds. We also refund the unused part of a prepaid period where sections 14.3, 18.2, 18.3, 21.2 or 22.1 say so. Apart from this section 13 and your rights by law, payments are non-refundable, including for partly used periods.
13.6. Your other rights. Nothing in this section limits your statutory rights if SHIPIT is faulty or not as described (section 15.2).
14Updates and changes to SHIPIT
14.1. Updates. SHIPIT checks for updates about once an hour and offers to install them; it installs an update only after you agree. You can turn off automatic checks in Settings (Check for updates automatically); if you do, you may miss security fixes. Updates are signed, and SHIPIT verifies the signature before installing. Some updates may be needed to keep using SHIPIT, our services, or Agent Tools that change their interfaces.
14.2. Changes. We may add, change or remove features to improve SHIPIT, keep it secure, follow the law, or respond to changes in Agent Tools and Third-Party Services.
14.3. Consumers. If you are a consumer, we will provide the updates needed to keep SHIPIT working as described for the period you paid for. If we make a change that significantly reduces your access to or use of SHIPIT during a period you paid for, we will tell you in advance, and you may end your subscription and get a refund of the unused part of that period.
14.4. Beta features. Features marked "beta", "preview" or "experimental" may be incomplete, may change or disappear, and are provided as they are.
15No warranty
15.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPIT IS PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO WARRANTY, EXPRESS, IMPLIED OR STATUTORY, THAT SHIPIT IS ERROR-FREE, UNINTERRUPTED, SECURE, COMPATIBLE WITH ANY AGENT TOOL OR THIRD-PARTY SERVICE, OR FIT FOR A PARTICULAR PURPOSE, OR THAT AGENTS OR AI OUTPUT WILL BE ACCURATE, SAFE, LAWFUL OR NON-INFRINGING. WE DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
15.2. Consumers. This section does not affect the rights you have by law. If you are a consumer in the EU, the UK or Ukraine, you have a legal right to digital content and services that conform to the contract. If SHIPIT does not conform, you can ask us to fix it; if we cannot or do not, you can ask for a price reduction or a refund, as your law provides. Write to [email protected].
15.3. US residents. Some US states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so some of sections 15 and 16 may not apply to you. If you are a New Jersey resident, sections 15.1, 16.2–16.4 and 17 apply only to the extent permitted by New Jersey law.
16Limits on our liability
16.1. What we never limit. Nothing in these terms excludes or limits our liability:
- for death or personal injury caused by our negligence;
- for fraud or fraudulent misrepresentation;
- for damage we cause intentionally or through gross negligence;
- under product liability law, including laws implementing Directive (EU) 2024/2853 and the UK Consumer Protection Act 1987;
- for our violation of a law, where that law does not allow the liability to be limited;
- under your statutory consumer rights; or
- for anything else that cannot be excluded or limited under applicable law.
16.2. Agent actions and AI output. Subject to section 16.1, and to the maximum extent permitted by law, we are not liable for loss or damage caused by:
- (a) the content of AI output, or your reliance on it;
- (b) an action that an agent, Agent Tool or Third-Party Service takes on your instruction, with your approval, or while Full access is on;
- (c) your failure to keep backups, protect secrets or review code before running or publishing it;
- (d) your breach of these terms or of a third party's terms; or
- (e) events outside our reasonable control.
Each of (a) to (e) is a separate limitation. This section 16.2 does not apply to loss caused by SHIPIT itself not working as these terms describe, for example SHIPIT starting an agent with a wider access mode than the one you chose, or taking an action you did not request.
16.3. NO INDIRECT LOSSES. SUBJECT TO SECTION 16.1, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR THE COST OF REPLACEMENT SERVICES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
16.4. OVERALL CAP. SUBJECT TO SECTION 16.1, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO SHIPIT OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE DZHURA SUBSCRIPTION IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, OR USD 50 IF YOU PAID NOTHING.
16.5. Consumers in the EU, the UK and Ukraine. If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill, to the extent your law requires this. Sections 16.2–16.4 apply to you only as far as your law allows. We are not responsible for loss you suffer in connection with any trade, business or profession.
16.6. Time limit for business users. A business user must bring any claim against us within one year after the cause of action arose, where the law allows such a limit.
17Your responsibility to us (indemnity)
17.1. Business users will defend, indemnify and hold us harmless from any claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of: Your Content; actions of agents run through your SHIPIT (except to the extent caused by SHIPIT not working as these terms describe); your use of Agent Tools and Third-Party Services; or your breach of these terms, the Agent Risk & Acceptable Use, any third party's terms, or the law. We will tell you promptly about any such claim and let you control the defence, but you may not settle a claim that imposes any obligation on us without our consent.
17.2. Consumers are responsible to us for losses we suffer because you broke these terms or the law, to the extent your law allows.
18Ending the agreement
18.1. By you. You can stop using SHIPIT at any time. Simply do not pay the next invoice, or delete your account. Refunds follow section 13.
18.2. By us. We may suspend or end your access, with notice where reasonable, if:
- you seriously or repeatedly break these terms or the Agent Risk & Acceptable Use;
- we must do so by law, court order or sanctions rules (section 19); or
- your use creates a serious security risk or legal risk for us or others, which you do not stop after we tell you about it (or which we cannot safely tell you about).
If we end your access for these reasons, we do not refund prepaid fees if you are a business user. If you are a consumer, we refund the unused part of the prepaid period, unless you seriously broke these terms or the law requires otherwise.
18.3. If we stop offering SHIPIT. We may stop offering SHIPIT with at least 30 days' notice. We will refund the unused part of any prepaid period.
18.4. What happens next. When the agreement ends, your licence ends and you must stop using SHIPIT. Your Content stays on your Mac and with your providers. Sections 7, 8.11, 9, 10.3, 15, 16, 17, 19, 20, 22 and 23 continue to apply.
19Sanctions and export control
19.1. SHIPIT is subject to the sanctions and export laws of Ukraine, the European Union, the United Kingdom, the United States and other applicable countries.
19.2. We do not provide SHIPIT to persons or places described in section 3. You confirm that you meet section 3, and that you will not use, export, re-export or provide access to SHIPIT in breach of these laws — including through a VPN or a third party to hide your location.
19.3. If we have reason to believe you do not meet section 3, we may immediately suspend or end your access and refuse or block payments, and we may report as required by law. Where the law forbids us to refund, we will not refund.
20Governing law and disputes
20.1. Talk to us first. If you have a problem, please email [email protected]. We will try to resolve it within 30 days.
20.2. Governing law. These terms are governed by the law of Ukraine, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
20.3. Consumers. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country. Nothing in this section takes away rights that the law of your country gives you.
20.4. Business users. The courts of Ukraine have exclusive jurisdiction over disputes with business users.
21Changes to these terms
21.1. We may change these terms, for example when SHIPIT, the law or our business changes. Each version has a number and a date, and earlier versions stay available on dzhura.app.
21.2. For significant changes, we will tell you at least 30 days in advance — in the app, on dzhura.app or by email — and SHIPIT will ask you to accept the new version, without blocking your work. If you do not agree, you can stop using SHIPIT and we will refund the unused part of any prepaid period. If you keep using SHIPIT without agreeing, the previous version continues to apply until your current paid period ends; we may ask you to accept the current version before you pay for a new period.
21.3. Minor changes (corrections, clarifications, changes required by law, or changes that do not affect you negatively) take effect when we publish them.
21.4. Changes do not apply to disputes that arose before they took effect.
22Transferring the agreement
22.1. By us. We may transfer this agreement, including all our rights and obligations, to a company that takes over SHIPIT — for example, a company set up or controlled by Maksym Zhuk, or a buyer of the business. We will tell you about the transfer. The transfer will not reduce your rights under these terms. If you are a consumer and do not want to continue with the new provider, you may end your subscription and get a refund of the unused part of any prepaid period.
22.2. By you. You may not transfer your licence, account or rights under these terms without our written consent.
23Other legal terms
23.1. Entire agreement. These terms (including the Agent Risk & Acceptable Use) are the whole agreement between you and us about SHIPIT and replace earlier terms about it. They do not replace the terms for the Dzhura app or other Dzhura apps, or for Agent Tools and Third-Party Services.
23.2. Severability. Each section, sub-section and list item of these terms is separate. If a court or authority finds any of them invalid, unfair or unenforceable, that item does not apply: for a consumer in full, for a business user only to the extent necessary. The rest of these terms remain in force.
23.3. No waiver. If we do not enforce a right immediately, we can still enforce it later.
23.4. Events outside our control. We are not responsible for delay or failure caused by events beyond our reasonable control, including war, air raids and power outages, internet or blockchain failures, and actions of Agent Tools or Third-Party Services.
23.5. Notices. We may send notices to the email address on your Dzhura account or show them in SHIPIT. You can send notices to [email protected].
23.6. Language. These terms are written in English. If we provide a translation and there is a conflict, the English version prevails, unless the law of your country requires otherwise.
23.7. No third-party rights. No one other than you and us has rights under these terms.
